Terms of Service
Effective August 8, 2026
1. Agreement to these terms
These terms are an agreement between you and Manxz, Inc. (“Modwork,” “we,” “us”), the company behind Modwork. By creating an account or using Modwork, you agree to them and to our Privacy Policy.
You must be at least 18 and able to enter a binding contract. If you’re using Modwork for a business, you confirm you have the authority to bind that business, and “you” means both you and the business. Modwork is built for businesses in the United States.
2. What Modwork is
Modwork is an AI-assisted back office for service businesses. Your assistant helps you keep track of customers, properties, and jobs; prepare estimates and invoices; collect payments through Stripe; and handle the everyday paperwork of running your business.
3. Your account
Give us accurate information and keep it current. Keep your sign-in credentials secure — you’re responsible for activity on your account. If you think your account has been compromised, contact us right away at hello@modwork.ai.
4. Fees and billing
- Modwork is a paid subscription. Current prices are shown on our pricing page and at checkout, and payments are processed by Stripe.
- Subscriptions renew automatically — monthly or annually, whichever you chose — until you cancel. You can cancel anytime in Settings → Billing; your subscription then runs to the end of the period you already paid for. We don’t give partial-period refunds unless the law requires it.
- In our iPhone app you can subscribe through Apple’s App Store instead. Apple bills and renews those subscriptions under its own terms, and you cancel them in your Apple subscription settings — not in Settings → Billing.
- New accounts start with a free trial. You are not billed during the trial and we do not collect a payment method for it — billing starts only when you choose to subscribe, and the paid plan begins right away when you do.
- If we change prices, we’ll give you advance notice, and the new price takes effect at your next renewal.
5. Getting paid through Stripe
Modwork connects to Stripe so your business can send invoices and collect payments.
- When you set up payments, you’re creating your own account with Stripe, and you agree to Stripe’s terms, including its Connected Account Agreement.
- You — not Modwork — are the merchant of record for sales to your customers. You’re responsible for what you sell, your prices, your taxes, refunds, disputes and chargebacks, Stripe’s processing fees, and complying with the laws that apply to your business.
- Modwork is not a party to transactions between you and your customers, and we’re not a bank, payment processor, or money transmitter. Payments are processed by Stripe, and card and bank details never touch Modwork’s servers.
- Payment records shown in Modwork are for convenience — the authoritative record of a charge lives in Stripe.
6. The assistant
Modwork’s assistant is powered by AI, and AI makes mistakes: numbers can be wrong and drafts can be off. Review estimates, invoices, and messages before you approve or send them — what you send to a customer is your responsibility. The assistant’s output is not legal, tax, or accounting advice.
To keep the service healthy for everyone, we apply reasonable usage limits (like message rate limits). Don’t try to get around them.
7. Your content
Everything you put into Modwork — customer records, estimates, invoices, notes, messages, files — is yours. You give us permission to host and process it, and to share it with the service providers listed in our Privacy Policy, solely to run the service for you.
You’re responsible for your content. In particular, you promise that you have the right to store your customers’ information in Modwork and to contact them the way you do.
8. Acceptable use
Use Modwork lawfully and honestly. Don’t:
- break the law, or use Modwork to defraud, harass, or spam anyone;
- probe or breach the service’s security, or try to access other businesses’ data;
- reverse-engineer, scrape, or copy the service, or resell it without our permission;
- interfere with the service’s operation, or circumvent usage limits or billing;
- upload malware or content you have no right to share.
We may suspend accounts that put the service or other users at risk.
9. Text messages
Where SMS features are available and you opt in, you can work with your assistant over text. Message frequency varies, message and data rates may apply, and you can reply STOP at any time to stop or HELP for help. Details are in our Privacy Policy.
10. Intellectual property
Modwork — the software, design, and brand — belongs to Manxz, Inc. We give you a limited, non-exclusive, non-transferable license to use it while you have an account, subject to these terms. If you send us feedback, we may use it without obligation to you.
11. Third-party services
Modwork works with third-party services like Stripe (payments), Apple (sign-in and App Store billing), Google (sign-in), and Anthropic (AI). Their services are governed by their own terms, and we’re not responsible for them.
12. Termination
You can delete your account anytime in Settings → Account. Deleting it permanently deletes your account data and schedules any active subscription to cancel at the end of the period you already paid for (see Fees and billing — no partial-period refunds). An App Store subscription is managed by Apple, so deleting your account doesn’t cancel it — cancel it in your Apple subscription settings. Copies may remain for a time in encrypted backups and in the systems of the service providers listed in our Privacy Policy, and we keep records we’re legally required to keep, like billing records — so export anything you need first. Prefer email? Write to hello@modwork.ai and we’ll delete it for you.
We can suspend or terminate your account if you materially breach these terms, if the law requires it, or if keeping it active creates security or legal risk — and we’ll give you notice when we reasonably can.
13. Disclaimers
MODWORK IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT AI OUTPUT WILL BE ACCURATE.
14. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, NEITHER MANXZ, INC. NOR ITS OFFICERS, EMPLOYEES, OR SUPPLIERS WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOST PROFITS, REVENUE, OR DATA, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE IS LIMITED TO THE AMOUNT YOU PAID US IN THE TWELVE MONTHS BEFORE THE CLAIM AROSE. SOME JURISDICTIONS DO NOT ALLOW THESE LIMITS, SO THEY MAY NOT FULLY APPLY TO YOU.
15. Indemnification
You’ll defend and indemnify Manxz, Inc. against claims arising from your content, your use of the service, your violation of these terms, or your transactions with your customers.
16. Disputes and arbitration
If you have a problem, email hello@modwork.ai first — most issues can be sorted out informally, and we both agree to try that for 30 days before anything formal.
If that doesn’t resolve it, you and Manxz, Inc. agree to resolve any dispute arising out of these terms or the service through binding individual arbitration administered by the American Arbitration Association under its rules, rather than in court. The arbitration will take place in California, or remotely if both sides agree. Either side may instead bring an individual claim in small-claims court, and either side may go to court to protect its intellectual property.
YOU AND MANXZ, INC. EACH WAIVE THE RIGHT TO A JURY TRIAL AND THE RIGHT TO PARTICIPATE IN A CLASS ACTION. Disputes will be handled one-on-one only. You can opt out of this arbitration section by emailing hello@modwork.ai within 30 days of first accepting these terms.
17. Governing law
These terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules. Any court proceedings that aren’t subject to arbitration will take place in the state or federal courts located in California, and both sides consent to their jurisdiction.
18. Changes to these terms
We may update these terms as Modwork evolves. If a change is material, we’ll give you reasonable advance notice — for example, by email or in the app. Continuing to use Modwork after a change takes effect means you accept the new terms.
19. Everything else
These terms, together with the Privacy Policy and any Stripe terms you accept, are the entire agreement between us about Modwork. If part of these terms is found unenforceable, the rest stays in effect. You may not assign these terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. If we don’t enforce a provision right away, that’s not a waiver. Sections that by their nature should survive termination — like your content responsibilities, disclaimers, liability limits, and dispute terms — survive.
